1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the websites, applications, demos, trials, documentation, and related offerings made available by Turabit ("Turabit," "we," "us," or "our"), including the Tuva enterprise AI workflow automation platform (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not access or use the Services.
2. Services and eligibility
Tuva provides enterprise AI workflow automation capabilities, including integrations, orchestration, support automation, and related features as described on our website or in a separate order form, statement of work, or master services agreement.
The Services are intended for business and professional use. You must be at least 18 years old and legally able to enter into a binding contract to use the Services.
3. Accounts and access
Certain features require registration or an enterprise agreement. You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access or security incident.
4. Acceptable use
You agree not to:
- Use the Services in violation of applicable law, regulation, or third-party rights.
- Attempt to gain unauthorized access to the Services, other accounts, systems, or networks.
- Interfere with or disrupt the integrity, security, or performance of the Services.
- Reverse engineer, decompile, or attempt to extract source code except where permitted by law.
- Use the Services to develop competing products or services through unauthorized scraping, benchmarking, or misuse of proprietary materials.
- Upload, transmit, or process unlawful, infringing, harmful, or abusive content through the Services.
- Use the Services in high-risk environments where failure could lead to death, personal injury, or severe environmental or property damage without appropriate human oversight and safeguards.
5. Customer content and data
You retain ownership of content, data, and materials you or your users submit to or process through the Services ("Customer Content"), subject to the rights granted in these Terms and any applicable enterprise agreement.
You grant Turabit a limited license to host, process, transmit, display, and otherwise use Customer Content solely to provide, secure, maintain, and improve the Services, comply with law, and enforce these Terms.
You are responsible for obtaining all rights, consents, and notices required to submit Customer Content and for the accuracy, quality, and legality of that content.
6. Intellectual property
Turabit and its licensors own the Services, software, branding, documentation, website content, and all related intellectual property, except for Customer Content and third-party materials. No rights are granted except as expressly stated in these Terms or a signed agreement.
Feedback you provide may be used by Turabit without restriction or compensation to improve the Services.
7. Confidentiality and security
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect that information and will use it only for purposes related to the Services. Turabit maintains security controls designed to protect the Services, including practices aligned with SOC 2 Type 2 requirements where applicable.
8. Fees and commercial terms
Access to production or enterprise deployments may require a separate commercial agreement. Fees, billing terms, service levels, and renewal conditions will be set out in an order form, proposal, or written contract between you and Turabit. Unless otherwise agreed in writing, fees are non-refundable.
9. Trials and demonstrations
We may offer demos, pilots, playgrounds, or trial access at our discretion. Such access may be limited in duration, functionality, or support and may be suspended or terminated at any time. Trial environments are not intended for production workloads unless expressly agreed in writing.
10. Third-party services
The Services may integrate with or link to third-party tools, platforms, or content. Turabit does not control and is not responsible for third-party services. Your use of third-party services is governed by their own terms and policies.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. TURABIT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AI-generated outputs may be inaccurate, incomplete, or inappropriate for a given use case. You are responsible for reviewing outputs and applying human judgment before relying on them in business, legal, security, or operational decisions.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURABIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURABIT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU TO TURABIT FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (USD $100).
13. Indemnification
You will defend, indemnify, and hold harmless Turabit and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses arising out of your use of the Services, Customer Content, or violation of these Terms or applicable law.
14. Suspension and termination
We may suspend or terminate access to the Services if you materially breach these Terms, create security risk, or use the Services unlawfully. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.
15. Governing law and disputes
These Terms are governed by the laws applicable to Turabit's principal place of business, without regard to conflict-of-law principles, except where mandatory local law provides otherwise.
Before initiating formal proceedings, the parties will attempt in good faith to resolve disputes through direct discussion. If a dispute cannot be resolved informally, it will be brought in the courts or arbitration forum specified in a signed enterprise agreement, or otherwise in a competent court with jurisdiction over Turabit's principal place of business.
16. Changes to these terms
We may modify these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
